Roche Agrees to Buy Digital Pathology Firm PathAI for Up to $1.05 Billion
The Swiss group will pay $750 million upfront and up to $300 million in milestones, folding PathAI's AISight lab software into Roche Diagnostics.

Key points
- Roche said on May 7 that it signed a definitive merger agreement to acquire PathAI, a US digital pathology and AI company.
- The purchase price is $750 million upfront plus milestone payments of up to $300 million, for a deal value of up to $1.05 billion.
- Closing is expected in the second half of 2026, subject to antitrust and regulatory approvals, after which PathAI will join Roche's Diagnostics division.
Roche has signed a definitive merger agreement to acquire PathAI, a US company that makes digital pathology and AI software for pathology laboratories and drug developers, the Basel-based group said on May 7. Roche will pay a purchase price of $750 million upfront and additional milestone payments of up to $300 million.
That puts the deal's value at up to $1.05 billion, MedTech Dive reported, describing PathAI as a Boston-based firm. Closing is subject to customary conditions, including antitrust and regulatory approvals, and is expected in the second half of the year. PathAI will then become part of Roche's Diagnostics division.
A partnership turned takeover
The two companies have worked together since 2021. Roche said the partnership was scaled up in 2024 to include the development of AI-enabled companion diagnostic algorithms.
Digital pathology turns physical tissue on glass slides into high-resolution digital images, which pathologists can then analyse with AI tools. Roche said the field is transforming extensive manual workflows into automated, AI-driven processes.
The main product Roche is buying is PathAI's AISight Image Management System, software that combines image analysis and workflow tools inside the pathology lab. Roche said it intends to scale the system globally and pair it with its own digital pathology portfolio.
"Digital pathology has the potential to improve precision diagnosis of cancer and enable physicians to offer better tailored treatment regimens," said Matt Sause, CEO of Roche Diagnostics.
Andy Beck, PathAI's CEO and co-founder, said: "Joining forces with Roche marks a new era for PathAI, enabling us to realise our mission of improving patient outcomes through AI-powered pathology at unprecedented scale and speed."
Drug developer services
Roche also pointed to PathAI's work for pharmaceutical companies, including clinical trial support and translational research. The company said combining those services with its own companion diagnostics business would help find new biomarkers, potential drug targets and diagnostic tools for biopharma customers.
The deal is one of several in digital pathology. MedTech Dive noted that Labcorp expanded a collaboration with PathAI earlier this year to use its platform in Labcorp's anatomic pathology labs and hospital sites, and that Tempus AI bought digital pathology firm Paige in 2025 for just over $81 million.
Roche did not say how many PathAI employees would move into its Diagnostics division or give a revenue figure for PathAI.
